Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the BuildBillRX mobile application or web dashboard (the "Service"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and RX Digital LLC ("we", "us", or "our"), a limited liability company organized under the laws of the State of Arizona.

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a business, you represent and warrant that you have authority to bind that business to these Terms.

2. Description of Service

BuildBillRX is a business management platform designed for independent contractors and small construction/service businesses. The Service includes tools for: creating and sending invoices and estimates; managing jobs, clients, and project details; capturing contracts and digital signatures; tracking mileage and business expenses; connecting bank accounts via Plaid for transaction tracking; accepting payments via Stripe; managing crew members; AI-assisted features powered by OpenAI ("Rex"); and related business management features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and are not barred from using the Service under any applicable law.

4. Account Registration

To access most features, you must create an account. You agree to: provide accurate, current, and complete information; maintain and promptly update your account information; keep your login credentials confidential; notify us immediately of any unauthorized use of your account; and accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms.

5. Subscription Plans and Billing

BuildBillRX offers both free and paid subscription tiers. Paid subscriptions are billed on a recurring monthly or annual basis through our payment processor. By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel.

Cancellation: You may cancel your subscription at any time within the app or by contacting us. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial periods unless required by applicable law.

Price Changes: We may change subscription prices with 30 days' advance notice. Your continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Stripe Connect: If you use Stripe Connect to accept payments from your clients, you are also subject to the Stripe Connected Account Agreement. BuildBillRX is not responsible for Stripe fees, disputes, or chargebacks.

6. User Content

You retain ownership of all content you create, upload, or store through the Service ("User Content"), including client data, invoices, contracts, photos, and business records.

By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, display, and process your User Content solely for the purpose of providing the Service to you. We do not claim ownership of your User Content and will not use it for any purpose beyond operating and improving the Service.

You are solely responsible for your User Content. You represent and warrant that: you own or have the necessary rights to your User Content; your User Content does not violate any third party's rights; and your User Content complies with all applicable laws.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• Commit fraud, create false invoices, or impersonate any person or entity
• Upload or transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or its underlying systems
• Scrape, crawl, or extract data from the Service by automated means
• Resell or sublicense the Service without our written consent
• Use the AI features (Rex) to generate illegal contracts or fraudulent documents
• Engage in any activity that interferes with or disrupts the Service

We reserve the right to investigate and take appropriate action, including suspending or terminating accounts, for any violation of this section.

8. AI Features — Rex

BuildBillRX includes AI-powered features ("Rex") that use OpenAI's API to generate contract text, provide business insights, and assist with business tasks. You acknowledge and agree that:

• AI-generated content (including contracts) may contain errors and should be reviewed carefully before use
• Rex is not a licensed attorney and does not provide legal advice; consult a licensed attorney for legal guidance
• Rex is not a licensed financial advisor; consult a CPA or tax professional for tax advice
• Your business data (sanitized and limited) is sent to OpenAI solely to generate your requested responses
• We are not liable for decisions made based on AI-generated suggestions or content

9. Digital Signatures

BuildBillRX allows you to capture digital signatures on contracts. You acknowledge that:

• Enforceability of digital signatures varies by jurisdiction and document type
• We do not guarantee that signatures captured through the app will be legally binding in all circumstances
• You are responsible for ensuring your contracts comply with applicable state and local law
• The AI-generated state-specific legal clauses are provided as a convenience and do not constitute legal advice

We recommend consulting a licensed attorney in your jurisdiction before relying on digitally signed contracts for high-value projects.

10. Privacy and Data Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect your data, but we cannot guarantee that unauthorized third parties will never defeat those measures.

11. Intellectual Property

The Service, including all software, design, logos, trademarks, and content created by us (excluding User Content), is owned by RX Digital LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

12. Third-Party Services

The Service integrates with third-party services including Stripe, Plaid, Clerk, Supabase, OpenAI, and Expo. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or reliability of any third-party service.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RX DIGITAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless RX Digital LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: your use of the Service; your User Content; your violation of these Terms; or your violation of any third party's rights.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

Informal Resolution: Before filing any legal action, you agree to first contact us at hello@buildbillrx.com and attempt to resolve the dispute informally for at least 30 days.

17. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and governing law) will survive.

18. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by sending an in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. Miscellaneous

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and RX Digital LLC regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
